Course Designer 3 End User License AgreementImportant -- Read CarefullyThis End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Matix Corporation pertaining to the use of Matix Corporation's "Clean Run Course Designer 3" software product ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.Free Trial / Viewing LicenseThis EULA grants the following rights for free to anyone who agrees to its terms: You may install the Software on an unlimited number of computers. You may use the Software on any computer for a period of 30 days, starting from when the Software is installed on that computer. After 30 days, you may continue to use the Software only to view courses, but not to create, modify, or print courses.Activation License -- One Activation License Per ComputerIn addition to the free license granted above, Clean Run Productions, LLC, acting as Matix Corporation's distributor, also sells "Activation Licenses". An Activation License is effected by Clean Run Productions, LLC or Matix Corporation providing you with an "Activation Code". An Activation Code is a series of digits and dashes that may be entered into the Software, to enable the Software to be fully functional beyond the 30-day free trial period. If you have purchased an Activation License, then you are granted the following additional rights: You may continue to use the full functionality of the Software on one computer, including creating, modifying, and printing courses, even after the 30-day free trial period has expired on that computer. If you are an organization, multiple individuals within the organization may use the full functionality of the software beyond the free trial period, as long as that usage is on one computer. In order for you, as either an individual or an organization, to use the full functionality of the Software on multiple computers after the free trial period has expired on those computers, you must purchase a separate Activation License for each computer on which the Software will be run. If you become unable to use the full functionality of the Software on the original computer for which an Activation Code is issued, due to selling or discarding the computer, replacing its hard drive, or for any other reason, Matix Corporation, at its sole discretion, may at your request provide a replacement Activation Code for use on the modified computer or on a different computer. If the Activation Code is for a different computer, your rights under the Activation License are transferred from the original computer to the new computer. Matix Corporation reserves the right to not issue replacement Activation Codes. Limitations on Other Rights
CopyrightThe Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. All title and copyrights in and to the Software, and any copies of the Software are owned by Matix Corporation or its suppliers.Limited WarrantyMatix Corporation warrants that upon purchasing an Activation License and entering the Activation Code, the Software will behave substantially as it does during the free trial period. Matix Corporation's and its supplier's entire liability and your exclusive remedy shall be, at Matix Corporation's option, either (a) return of the price paid, or (b) repair or replacement of the Software that does not meet the Limited Warrenty. To the maximum extent permitted by applicable law, Matix Corporation and its suppliers disclaim all other warranties, either express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, with regard to the Software. You may have some specific legal rights, which vary from state/jurisdiction to state/jurisdiction. No Liability for Consequential DamagesTo the maximum extent permitted by applicable law, in no event shall Matix Corporation or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Matix Corporation has been advised of the possibility of such damages. Because some states and jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.JurisdictionIf you acquired this product in the United States, this EULA is governed by the laws of the State of New York.
